References to Assetiko, we, us, our, the platform or the Assetiko group may refer, as the context requires, to one or more Assetiko entities or dedicated issuance vehicles.

Assetiko may establish dedicated Special Purpose Vehicles in connection with specific digital asset issuances. Each SPV will be a separate legal entity with its own identity, purpose, documentation, legal structure, commercial arrangements, assets, liabilities and obligations. Details of any SPV associated with a specific digital asset will be published within the documentation for that digital asset.

2. Website Operator

Unless otherwise stated, the Assetiko website is operated by Assetiko Operations Ltd. on behalf of the Assetiko group.

Certain product pages, notices, resources or documents may be published by, or on behalf of, Assetiko Holdings Ltd., Assetiko Digital Assets Ltd., Assetiko Commodities Ltd., Assetiko Treasury Ltd., Assetiko Operations Ltd. or a dedicated SPV. Where a specific document identifies a particular issuer, SPV or responsible entity, that specific identification shall apply to that document or issuance.

No information published through Assetiko should be relied upon as an offer or solicitation in any jurisdiction where such offer or solicitation would be unlawful.

6. Eligibility

By using the Assetiko website, you represent and warrant that you are at least 18 years old; have legal capacity to agree to these Terms; are not prohibited from accessing the website under applicable law; are not subject to sanctions; are not located in a jurisdiction where access would be unlawful; will comply with all laws applicable to your use; and will not use the website for unlawful, fraudulent, abusive or prohibited purposes.

You must not rely solely on information published through the Assetiko website when making any decision.

Assetiko may publish information relating to digital assets linked to selected private technology companies or related commercial opportunities.

The specific legal nature of each digital asset is determined exclusively by the documentation published for that digital asset. No digital asset should be assumed to represent direct equity, shares, securities, shareholder rights, voting rights, dividend rights, information rights, redemption rights, liquidation rights or rights against an underlying company unless expressly stated in the relevant documentation.

General website information is provided for informational purposes. Specific digital asset documentation governs each digital asset. Where general website information conflicts with specific digital asset documentation, the specific documentation shall prevail.

11. Private Company Information

Assetiko may rely on information obtained from public sources, company materials, registries, third-party sources, professional advisers, data providers, commercial counterparties or other sources. Assetiko does not guarantee that private company information is complete, accurate, current or independently verified.

12. No Company Endorsement Unless Stated

A digital asset linked to a private company may not be issued, approved, sponsored, authorized, verified, endorsed or supported by that underlying company unless expressly stated in the relevant documentation.

References to a private company do not automatically mean that the company has approved Assetiko, the issuer, the SPV, the digital asset, the documentation or any related structure. You must review the documentation for each digital asset to understand the nature of any relationship between the issuer, the SPV and the underlying company.

13. Risk Disclosure

Digital assets involve significant risk. Private company exposure involves significant uncertainty. Blockchain infrastructure involves technology risk. Legal structures may be complex. Liquidity may be limited or nonexistent. Regulatory treatment may change. Users may lose some or all value associated with a digital asset.

You should review Assetiko's Risk Disclosure and all risk disclosures published for the relevant digital asset.

14. Compliance, KYC, AML and Sanctions

Assetiko may apply compliance procedures in connection with website access, communications, digital asset information, transfers, documentation access or participation opportunities.

15. Wallets and Blockchain Transactions

You are solely responsible for any wallet, private key, seed phrase, signing device, custody arrangement, destination address, transaction instruction or blockchain interaction you control. Blockchain transactions may be irreversible.

16. XRP Ledger Notice

Assetiko digital assets may be issued on the XRP Ledger. The XRP Ledger is independent public blockchain infrastructure.

Assetiko does not control the XRP Ledger, its validators, protocol amendments, network operation, wallet ecosystem, third-party interfaces or external infrastructure. Use of the XRP Ledger may involve technical, network, wallet, transaction, protocol, validator and infrastructure risks. Reference to the XRP Ledger does not imply endorsement by Ripple, the XRP Ledger Foundation, validators or ecosystem participants.

17. Prohibited Uses

You must not use the Assetiko website to violate law, commit fraud, misrepresent identity, submit false information, evade sanctions, engage in money laundering, facilitate terrorist financing, access restricted materials unlawfully, interfere with website security, attempt unauthorized access, scrape or harvest data, reverse engineer website systems, distribute malware, conduct phishing, impersonate Assetiko or any third party, abuse contact forms, upload harmful content, circumvent eligibility restrictions, manipulate digital asset information or engage in conduct that may harm Assetiko, users or third parties.

Assetiko may take action against prohibited use, including restricting access, preserving evidence, notifying authorities or pursuing legal remedies.

18. User Submissions

If you submit information, documents, comments, enquiries, company introductions, partnership requests, complaints or other materials to Assetiko, you represent that the information is accurate; you have the right to provide it; it does not violate law; it does not infringe third-party rights; it is not misleading; it does not contain malware; and it does not contain unlawful content.

You grant Assetiko a non-exclusive, worldwide, royalty-free right to use submitted information for purposes related to reviewing, responding to, processing, documenting, operating, protecting and administering Assetiko's business, subject to the Privacy Policy and applicable law. Assetiko is not required to accept, review, respond to, publish or return any submission.

19. Intellectual Property

All content on the Assetiko website, including text, graphics, logos, icons, designs, layouts, frameworks, documents, images, illustrations, software, databases, trademarks, trade names and other materials, is owned by or licensed to Assetiko unless otherwise stated.

The names Assetiko, Assetiko Holdings Ltd., Assetiko Digital Assets Ltd., Assetiko Commodities Ltd., Assetiko Treasury Ltd., Assetiko Operations Ltd., associated logos, trade names, service names and product names are the property of the relevant Assetiko entity. You may not copy, reproduce, modify, distribute, publish, display, transmit, license, sell, exploit, scrape, reverse engineer or create derivative works from Assetiko content without prior written permission. Specific digital asset documentation may contain additional or different terms. Where specific digital asset documentation conflicts with these Terms in relation to that digital asset, the specific documentation shall prevail.

37. Governing Law

Unless otherwise stated in specific documentation, these Terms of Use and any non-contractual obligations arising out of or relating to them shall be governed by the laws of the British Virgin Islands.

Specific digital assets, issuers, SPVs, documents or arrangements may be subject to different governing law provisions. Where a specific document contains its own governing law clause, that clause shall apply to the relevant document or transaction.

38. Dispute Resolution

Any dispute, controversy or claim arising out of or relating to these Terms of Use, the website or any non-contractual obligation connected with them shall be resolved in accordance with the dispute resolution provisions determined by Assetiko and applicable law.

Unless otherwise stated in specific documentation, disputes shall be submitted to the exclusive jurisdiction of the courts of the British Virgin Islands. Assetiko may seek injunctive, equitable or protective relief in any jurisdiction where necessary to protect its rights, intellectual property, confidential information, users, systems or legal interests.

These Terms of Use are published in English. If translations are provided, they are for convenience only. In the event of inconsistency between the English version and any translated version, the English version shall prevail.
